STAY IN THE BAY Pelican Bay Foundation Governance Structure The Pelican Bay Foundation Board of Directors continually focuses on managing, enhancing and improving the community, facilities and amenities. The Board works with six standing committees — Design Review, Elections, Facilities, Finance, Member Policies & Relations and Strategic Planning — along with two Ad Hoc Committees — Legal and Media Infrastructure — to advise the Board on the best recommendations for continued improve-ment. Each committee has specific purposes, as highlighted below. Design Review Committee The Design Review Committee helps owners realize their objectives while implementing the overall vision that distinguishes Pelican Bay from other communities in Naples by focusing on specific review criteria. • Validity of Concept – The basic idea of the exterior change must be sound and appropriate to its surroundings. • Landscaping and Environment – The exterior change must not adversely impact the natural landscape or the man-made environment. • Relationship of Structures and Adjoining Property – The proposed change must relate harmoniously to its surroundings, existing buildings and terrain visually related to the change. • Consideration of Neighbors – The interests of neighboring owners and the owners’ property rights are protected by making reasonable provisions for such matters as water drainage, sound buffers, privacy, light and air and other aspects of design, which may have substantial effects on neighboring property. • Design Compatibility – The proposed change must be compatible with the design characteristics of the applicant’s home and the general neighborhood setting. Compatibility is defined as harmony in design, style, scale, materials, finish(es), color and construction details. • Scale – The three-dimensional size of the proposed change must relate satisfactorily to adjacent structures and surroundings. • Materials – Continuity is established by use of the same or compatible materials as used in the home. • Color – Must be consistent with the neighborhood’s color scheme. • Workmanship – The quality of work must be equal to or better than that of existing structures. Elections Committee • Draft an election procedure resolution for approval by the Board. • Publish notice of the election in the Pelican Bay Post. • Certify that nominees for the Board meet the qualifications stated in section 4.04 of the Bylaws or its successors. • Organize and run forums where candidates may address voters. • Resolve complaints about the election process. • Recommend the method of voting for Board approval. Retain and oversee the services of an outside firm or firms to print and mail the ballot packets; receive and tabulate the ballots, including the creation and maintenance of an internet voting site; audit the results in case of a contested election; and provide such other services as the committee deems appropriate. • Oversee the voting. • Certify the election results. • Announce the election results in aggregate only. Facilities Committee • Consult with the Strategic Planning Committee on new facilities and improvements to existing facilities. • Develop concepts for capital projects. • Solicit member input on projects under consideration. • Review design documents and identify issues or suggest revisions. • Review bid evaluation packets from partners and contractors. • Conduct periodic reviews of construction, identify issues and offer recommendations. • Review performance of partners. Finance Committee • Review and oversee the Foundation’s annual operating, replacement and capital spending budgets. • Make recommendations to the Board concerning all budgets and any unbudgeted expenditures throughout the year. • Review and recommend investment policies for the Foundation’s cash balances. • Select the Foundation’s independent auditors. • Make presentations to the Board of Directors on: n Results of the annual audit n The adequacy and effectiveness of the accounting controls of the Foundation n Recommendations to improve internal control procedures n Any significant financial reporting issues and practices Member Policies and Relations Committee • Review member policies as needed. • Recommend to the Board new policies or changes in policies based on a thoughtful consideration of what appears to be in the best interests of the membership. • Serve as an entry point for Foundation Member ideas and suggestions.
